Overview
Falcon Bridge Capital (“FBC”) is a Delaware limited liability company (LLC) formed in
2007. Falcon Bridge Capital II is registered with the SEC as a Registered Investment
Adviser (RIA). FBC II provides both discretionary and non-discretionary advice to
Institutional Investors, Private Equity groups and Banking Entities. From 2008 to 2015,
FBC II was a member of a Joint Venture Agreement (JV), with the Carlyle Group.
Currently, FBC II is functioning in the role of an Investment Advisor to various substantial
Institutional Investors.
Falcon Bridge Capital II advice to Institutional Investors relates to Agency, Credit Risk
Transfer and Non-Agency Residential Mortgage-backed securities (RMBS) and other
mortgage credit securities. FBC’s advise generally involves the purchase, management,
surveillance, and reporting on RMBS investments. Non-Agency RMBS securities are
bonds backed by nonconforming residential mortgage loans located throughout the United
States. As discussed in Item 8, below, unlike Agency RMBS, where losses are explicitly
or implicitly backed by the full faith and credit of the US Government, Non-Agency
RMBS are not backed by the US Government.
Additionally, Falcon Bridge Capital II, in a non-registered capacity, provides State and
Federally Charted Banking Entities with comprehensive guidance regarding acquisition of
Residential Mortgage Whole Loans. These whole loan purchases are not securities, do not
trade on a listed exchange and have not been assigned a QUSIP number.
In F/Y 2020 Falcon Bridge Capital LLC established a separate business line focusing on
the refinance of residential mortgages. This business line is distinct in in its reporting
organization and licensing requirements. This line of business, residential
mortgage
refinance does not involve any registered securities or derivates. This Form ADV covers
only Falcon Bridge II securitized activities as under the purview of the SEC. Reference to
Falcon Bridge Capital (“FBC”) in this brochure is addressed to Falcon Bridge Capital II
which is registered with the SEC as a Registered Investment Adviser (RIA).

Brochure in considering whether a Falcon Bridge Capital II advisory service is appropriate
to their own circumstances based on all relevant factors including, but not limited to, the
Client’s or Investor’s own investment objectives, liquidity requirements, tax situation and
risk tolerance before making an investment decision.
The general partner and principal owner of both Falcon Bridge Capital II LLC and parent
company Falcon Bridge Capital LLC, is Mr. Sunil Chowdry. Mr. Chowdry is the Chief
Executive Officer (CEO). Mr. Chowdry is a Chartered Financial Analyst (CFA) and has
over 20 years of experience in the banking and investment management industry with a
broad emphasis in risk management, structured finance, hedging and financial analysis.
As of February 28, 2023, Falcon Bridge Capital had assets under management of
approximately $130 million, managed on a discretionary and non-discretionary basis.
