Align Wealth Management, LLC is a registered investment advisor headquartered in Oklahoma City,
Oklahoma with an office in St. Petersburg, Florida. We are organized as a limited liability company
under the laws of the State of Oklahoma. We have been providing investment advisory services since
1993. W. Brian Puckett, Managing Member and Chief Compliance Officer, is our principal owner. Our
advisory representatives are Certified Financial Planners who can help you manage your investments,
plan your retirement, reduce your taxes, minimize your risks, and leave a legacy to your loved ones.
As used in this brochure, the words "we", "our" and "us" refer to Align Wealth Management, LLC and
the words "you", "your" and "client" refer to you as either a client or prospective client of our firm. Also,
you may see the term Associated Person throughout this Brochure. As used in this Brochure, our
Associated Persons are our firm's officers, employees, and all individuals providing investment advice
on behalf of our firm.
We offer portfolio management services through a wrap-fee program ("Program") as described in this
wrap fee program brochure to prospective and existing clients. We are the sponsor and investment
adviser for the Program. A wrap-fee program is a type of investment program that provides clients with
asset management and brokerage services for one all-inclusive fee. If you participate in our wrap fee
program, you will pay our firm a single fee, which includes money management fees, certain
transaction costs, and custodial and administrative costs. You are not charged separate fees for the
respective components of the total services. We receive a portion of the wrap fee for our services. The
overall cost you will incur if you participate in our wrap fee program may be higher or lower than you
might incur by separately purchasing the types of securities available in the Program.
Prior to becoming a client under the Program, you will be required to enter into a separate written
agreement with us that sets forth the terms and conditions of the engagement and describes the scope
of the services to be provided, and the fees to be paid.
Client Investment Process
We offer discretionary portfolio management services. Our investment advice is tailored to meet our
clients' needs and investment objectives. If you retain our firm for portfolio management services, we
will meet with you to determine your investment objectives, risk tolerance, and other relevant
information at the beginning of our advisory relationship. We will use the information we gather to
develop a strategy that enables our firm to give you continuous and focused investment advice and/or
to make investments on your behalf. As part of our portfolio management services, we customize an
investment portfolio for you in accordance with your risk tolerance and investing objectives. Once we
construct an investment portfolio for you, we will monitor your portfolio's performance on an ongoing
basis, and will rebalance the portfolio as required by changes in market conditions and in your financial
circumstances.
As a client of our discretionary portfolio management services, we require you to grant our firm
discretionary authority to manage your account. Discretionary authorization will allow our firm to
determine the specific securities, and the amount of securities, to be purchased or sold for your
account without your approval prior to each transaction, but will be done according to the agreed upon
Investment Policy Statement. Discretionary authority is typically granted by the investment advisory
agreement you sign with our firm, a power of attorney, or trading authorization forms. You may limit our
discretionary authority (for example, limiting the types of securities that can be purchased for your
account) by providing our firm with your restrictions and guidelines in writing.

Assets for program accounts are held at either TD Ameritrade Institutional, a division of TD Ameritrade,
Inc., member FINRA/SIPC (hereinafter "TD Ameritrade") or Charles Schwab & Co., Inc. member
FINRA/SIPC (hereinafter "Schwab") as custodian. TD Ameritrade and Schwab also act as executing
broker/dealers for transactions placed in Program accounts, and provide other administrative services
as described throughout this Brochure. To compare the cost of the wrap fee program with non-wrap
fee portfolio management services, you should consider the frequency of trading activity associated
with our investment strategies and the brokerage commissions charged by TD Ameritrade and
Schwab and the advisory fees charged by investment advisers.
Changes in Your Financial Circumstances
In providing the contracted services, we are not required to verify any information we receive from you
or from your other professionals (e.g. attorney, accountant, etc.) and we are expressly authorized to
rely on the information you provide. Furthermore, unless you indicate to the contrary, we shall assume
that there are no restrictions on our services, other than to manage your account in accordance with
your designated investment objectives. It is your responsibility to promptly notify us if there are ever
any changes in your financial situation or investment objectives for the purpose of
reviewing/evaluating/revising our previous recommendations and/or services.
The Program Fee
We charge an annual "wrap-fee" for participation in the Program depending upon the market value of
your assets under our management. You are not charged separate fees for the different components
of the services provided by the Program. Our firm pays all trade expenses of trades placed on your
behalf. Our Program fee includes the fee we pay to any portfolio manager for their management of
your account and TD Ameritrade's and Schwab's transaction or execution costs. Assets in each of your
account(s) are included in the fee assessment unless specifically identified in writing for exclusion.
Our annual program fees are negotiable depending on the scope and complexity of your portfolio but
will, in no event, exceed 1.00% of the assets under management.
As a client, you should be aware that the wrap fee charged by our firm may be higher (or lower) than
those charged by others in the industry, and that it may be possible to obtain the same or similar
services from other firms at lower (or higher) rates. A client may be able to obtain some or all of the
types of services available through our firm's wrap fee program on an individual basis through other
firms and, depending on the circumstances, the aggregate of any separately paid fees may be lower or
higher than the annual fees shown above.
Our annual portfolio management fee is billed and payable quarterly in arrears based on the value of
your account on the last day of the quarter. For the initial quarter of portfolio management services, the
first quarter's fees will be calculated on a pro rata basis, which means the advisory fee is payable in
proportion to the number of days in the quarter for which you are a client.
You may withdraw account assets on notice to our firm, and subject to the usual and customary
securities settlement procedures. However, we design our portfolios as long-term investments and
asset withdrawals may impair the achievement of your specific investment objectives.
We will deduct our advisory fee only when you have given our firm written authorization permitting the
fees to be paid directly from your account. Further, the qualified custodian will deliver an account
statement to you at least quarterly. These account statements will show all disbursements from your
account. You should review all statements for accuracy. Generally, we will receive a duplicate copy of
your account statements.

Termination of Advisory Relationship
You may terminate the wrap fee program agreement upon written notice to our firm. You will incur a
pro rata charge for services rendered prior to the termination of the wrap fee program agreement,
which means you will incur advisory fees only in proportion to the number of days in the quarter for
which you are a client. If you have pre-paid advisory fees that we have not yet earned, you will receive
a prorated refund of those fees.
Upon termination of accounts held at TD Ameritrade or Schwab, they will deliver securities and funds
held in the account per your instructions unless you request that the account be liquidated. After the
wrap fee program agreement has been terminated, transactions are processed at the prevailing
brokerage rates/fees. You become responsible for monitoring your own assets and our firm has no
further obligation to act upon or to provide advice with respect to those assets.
Right to Terminate and Request a Refund
Either party may terminate the Investment Advisory Agreement ("Agreement"), without penalty, at any
time by giving written notice to the other party. If you decide to terminate the Agreement within one
year after the effective date, you will, upon written request, receive a full refund of all management fees
paid to Align Wealth Management, LLC. Termination is effective upon our actual receipt of written
notice. In the event of your death, disability, or incompetency, your executor, guardian, attorney-in-fact
or other authorized representative may authorize us to continue serving as investment adviser to you
or your estate. Upon termination, our management fees will be pro-rated through the date of
termination and you will authorize us to deduct same from your Account. Termination will not preclude
the consummation of any transaction initiated prior to our actual receipt of written termination. Upon
termination, all parties are relieved of all obligations and we will have no duty to take any action with
regard to your Account.
Wrap Fee Program Disclosures
•The benefits under a wrap fee program depend, in part, upon the size of the Account, the
management fee charged, and the number of transactions likely to be generated in the
Account. For example, a wrap fee program may not be suitable for Accounts with little trading
activity. In order to evaluate whether a wrap fee program is suitable for you, you should
compare the Program Fee and any other costs of the Program with the amounts that would be
charged by other advisers, broker-dealers, and custodians, for advisory fees, brokerage and
other execution costs, and custodial services comparable to those provided under the Program.
•In considering the investment programs described in this brochure, you should be aware that
participating in a wrap fee program may cost more or less than the cost of purchasing advisory,
brokerage, and custodial services separately from other advisers or broker-dealers.
•Our firm and Associated Persons receive compensation as a result of your participation in the
Program. Accordingly, a conflict of interest exists because our firm and our Associated Persons
have a financial incentive to recommend the Program.
•Similar advisory services may be available from other registered investment advisers for lower
fees.
Additional Fees And Expenses
The Program Fee includes the costs of brokerage commissions for transactions executed through the
Qualified Custodian (or a broker-dealer designated by the Qualified Custodian), and charges relating to
the settlement, clearance, or custody of securities in the Account. The Program Fee does not include
mark-ups and mark-downs, dealer spreads or other costs associated with the purchase or sale of
securities, interest, taxes, or other costs, such as national securities exchange fees, charges for

transactions not executed through the Qualified Custodian, costs associated with exchanging
currencies, wire transfer fees, or other fees required by law or imposed by third parties. The Account
will be responsible for these additional fees and expenses.
The wrap program fees that you pay to our firm for portfolio management services are separate and
distinct from the fees and expenses charged by mutual funds or exchange traded funds (described in
each fund's prospectus) to their shareholders. These fees will generally include a management fee and
other fund expenses. To fully understand the total cost you will incur, you should review all the fees
charged by mutual funds, exchange traded funds, our firm, and others.
IRA Rollover Recommendations
Effective December 20, 2021 (or such later date as the US Department of Labor ("DOL") Field
Assistance Bulletin 2018-02 ceases to be in effect), for purposes of complying with the DOL's
Prohibited Transaction Exemption 2020-02 ("PTE 2020-02") where applicable, we are providing the
following acknowledgment to you.
When we provide investment advice to you regarding your retirement plan account or individual
retirement account, we are fiduciaries within the meaning of Title I of the Employee Retirement Income
Security Act and/or the Internal Revenue Code, as applicable, which are laws governing retirement
accounts. The way we make money creates some conflicts with your interests, so we operate under a
special rule that requires us to act in your best
interest and not put our interest ahead of yours. Under
this special rule's provisions, we must:
•Meet a professional standard of care when making investment recommendations (give prudent
advice);
•Never put our financial interests ahead of yours when making recommendations (give loyal
advice);
•Avoid misleading statements about conflicts of interest, fees, and investments;
•Follow policies and procedures designed to ensure that we give advice that is in your best
interest;
•Charge no more than is reasonable for our services; and
•Give you basic information about conflicts of interest.
We benefit financially from the rollover of your assets from an ERISA account to an account that we
manage or provide investment advice to, because the assets increase our Assets Under Management
and, in turn, our advisory fees. In contrast, we receive less, or no, compensation if assets remain in the
current plan or are rolled over to another Company's plan in which you may participate.
Brokerage Practices
If you participate in the Program, you will be required to establish an account with TD Ameritrade, Inc.,
member FINRA/SIPC, ("TD Ameritrade") or Charles Schwab & Co., Inc., member FINRA/SIPC,
("Schwab") unaffiliated SEC-registered broker-dealers. If you do not direct our firm to execute
transactions through TD Ameritrade or Schwab, we reserve the right to not accept your account. Not
all advisers require their clients to direct brokerage. Since you are required to use TD Ameritrade or
Schwab, we may be unable to achieve the most favorable execution of your transactions. We believe
that TD Ameritrade and Schwab provide quality execution services based on several factors, including,
but not limited to, the ability to provide professional services, reputation, experience and financial
stability.
We participate in the TD Ameritrade Institutional program. TD Ameritrade Institutional is a division of
TD Ameritrade, Inc., member FINRA/SIPC/NFA. TD Ameritrade is an independent and unaffiliated
SEC-registered broker-dealer. TD Ameritrade offers to independent investment advisors services
which include custody of securities, trade execution, clearance and settlement of transactions. We

receive some benefits from TD Ameritrade through our participation in the program. We may
recommend TD Ameritrade to Clients for custody and brokerage services. There is no direct link
between our participation in the program and the investment advice we give to our Clients, although
we receive economic benefits through our participation in the program that are typically not available to
TD Ameritrade retail investors. These benefits include the following products and services (provided
without cost or at a discount): receipt of duplicate Client statements and confirmations; research
related products and tools; consulting services; access to a trading desk serving our participants;
access to block trading (which provides the ability to aggregate securities transactions for execution
and then allocate the appropriate shares to Client accounts); the ability to have advisory fees deducted
directly from Client accounts; access to an electronic communications network for Client order entry
and account information; access to mutual funds with no transaction fees and to certain institutional
money managers; and discounts on compliance, marketing, research, technology, and practice
management products or services provided to us by third party vendors. TD Ameritrade may also have
paid for business consulting and professional services received by our related persons. Some of the
products and services made available by TD Ameritrade through the program may benefit us but may
not benefit our Client accounts. These products or services may assist us in managing and
administering Client accounts, including accounts not maintained at TD Ameritrade. Other services
made available by TD Ameritrade are intended to help us manage and further develop our business
enterprise. The benefits received by us or our personnel through participation in the program do not
depend on the amount of brokerage transactions directed to TD Ameritrade. As part of our fiduciary
duties to clients, we endeavor at all times to put the interests of our clients first. Clients should be
aware, however, that the receipt of economic benefits by us or our related persons in and of itself
creates a potential conflict of interest and may indirectly influence our choice of TD Ameritrade for
custody and brokerage services.
We may also recommend that clients establish brokerage accounts with the Schwab Advisor Services
division of Charles Schwab & Co., Inc. (Schwab), a registered broker-dealer, member SIPC, to
maintain custody of clients' assets and to effect trades for their accounts. The final decision to custody
assets with Schwab is at your discretion, including those accounts under ERISA or IRA rules and
regulations, in which case you are acting as either the plan sponsor or IRA accountholder. We are
independently owned and operated and not affiliated with Schwab. Schwab provides us with access to
its institutional trading and custody services, which are typically not available to Schwab retail
investors. These services generally are available to independent investment advisors on an unsolicited
basis, at no charge to them so long as a total of at least $10 million of the advisor's clients' assets are
maintained in accounts at Schwab Advisor Services. Schwab's services include brokerage services
that are related to the execution of securities transactions, custody, research, including that in the form
of advice, analyses and reports, and access to mutual funds and other investments that are otherwise
generally available only to institutional investors or would require a significantly higher minimum initial
investment.
For client accounts maintained in its custody, Schwab generally does not charge separately for
custody services but is compensated by account holders through commissions or other transaction-
related or asset-based fees for securities trades that are executed through Schwab or that settle into
Schwab accounts.
Schwab also makes available to us other products and services that benefit us but may not benefit our
clients' accounts. These benefits may include national, regional or advisor specific educational events
organized and/or sponsored by Schwab Advisor Services. Other potential benefits may include
occasional business entertainment of personnel of ours by Schwab Advisor Services personnel,
including meals, invitations to sporting events, including golf tournaments, and other forms of
entertainment, some of which may accompany educational opportunities. Other of these products and
services assist us in managing and administering clients' accounts. These include software and other

technology (and related technological training) that provide access to client account data (such as
trade confirmations and account statements), facilitate trade execution (and allocation of aggregated
trade orders for multiple client accounts), provide research, pricing information and other market data,
facilitate payment of our fees from clients' accounts, and assist with back-office training and support
functions, record keeping and client reporting. Many of these services generally may be used to
service all or some substantial number of our accounts, including accounts not maintained at Schwab
Advisor Services. Schwab Advisor Services also makes available to us other services intended to help
us manage and further develop our business enterprise. These services may include professional
compliance, legal and business consulting, publications and conferences on practice management,
information technology, business succession, regulatory compliance, employee benefits providers,
human capital consultants, insurance and marketing. In addition, Schwab may make available, arrange
and/or pay vendors for these types of services rendered to us by independent third parties. Schwab
Advisor Services may discount or waive fees it would otherwise charge for some of these services or
pay all or a part of the fees of a third-party providing these services to us. While, as a fiduciary, we
endeavor to act in our clients' best interests, our recommendation that clients maintain their assets in
accounts at Schwab may be based in part on the benefit to us of the availability of some of the
foregoing products and services and other arrangements and not solely on the nature, cost or quality
of custody and brokerage services provided by Schwab, which may create a potential conflict of
interest.
Brokerage for Client Referrals
We do not receive client referrals from broker-dealers in exchange for cash or other compensation,
such as brokerage services or research.
IRA Rollover Considerations
As part of our investment advisory services to you, we may recommend that you withdraw assets from
your employer's retirement plan and roll the assets over to an individual retirement account ("IRA") that
we will manage on your behalf. If you elect to roll the assets to an IRA that is subject to our
management, we will charge you an asset based fee as set forth in the agreement you executed with
our firm. This practice presents a conflict of interest because persons providing investment advice on
our behalf have an incentive to recommend a rollover to you for the purpose of generating fee based
compensation rather than solely based on your needs. You are under no obligation, contractually or
otherwise, to complete the rollover. Moreover, if you do complete the rollover, you are under no
obligation to have the assets in an IRA managed by our firm.
Many employers permit former employees to keep their retirement assets in their company plan. Also,
current employees can sometimes move assets out of their company plan before they retire or change
jobs. In determining whether to complete the rollover to an IRA, and to the extent the following options
are available, you should consider the costs and benefits of same.
As an employee, you will typically have four options:
1. Leaving the funds in your employer's (former employer's) plan.
2. Moving the funds to a new employer's retirement plan.
3. Cashing out and taking a taxable distribution from the plan.
4. Rolling the funds into an IRA rollover account.
Each of these options has advantages and disadvantages and before making a change we encourage
you to speak with your CPA and/or tax attorney.
If you are considering rolling over your retirement funds to an IRA for us to manage here are a few
points to consider before you do so:

1. Determine whether the investment options in your employer's retirement plan address your
needs or whether you might want to consider other types of investments.
a. Employer retirement plans generally have a more limited investment menu than IRAs.
b. Employer retirement plans may have unique investment options not available to the
public such as employer securities, or previously closed funds.
2. Your current plan may have lower fees than our fees.
a. If you are interested in investing only in mutual funds, you should understand the cost
structure of the share classes available in your employer's retirement plan and how the
costs of those share classes compare with those available in an IRA.
b. You should understand the various products and services you might take advantage of
at an IRA provider and the potential costs of those products and services.
3. Our strategy may have higher or lower risk than the option(s) provided to you in your plan.
4. Your current plan may offer financial advice.
5. If you keep your assets titled in a 401k or retirement account, you could potentially delay your
required minimum distribution beyond age 70.5.
6. Your 401k may offer more liability protection than a rollover IRA; each state may vary.
a. Generally, federal law protects assets in qualified plans from creditors. Since 2005, IRA
assets have been generally protected from creditors in bankruptcies. However, there
can be some exceptions to the general rules so you should consult with an attorney if
you are concerned about protecting your retirement plan assets from creditors.
7. You may be able to take out a loan on your 401k, but not from an IRA.
8. IRA assets can be accessed any time; however, distributions are subject to ordinary income tax
and may also be subject to a 10% early distribution penalty unless they qualify for an exception such
as disability, higher education expenses or the purchase of a home.
9. If you own company stock in your plan, you may be able to liquidate those shares at a lower
capital gains tax rate.
10. Your plan may allow you to hire us as the manager and keep the assets titled in the plan name.
It is important that you understand the differences between these types of accounts and to decide
