Overview
Citation Capital Management, LLC (“Citation” or the “Firm”), a Delaware limited liability
company, is a private equity firm based in Dallas. Founded in 2022, Citation is focused on
making control buyout investments in the consumer & retail, industrials and services sectors
in North America.
Citation will serve as the investment adviser for, and provide discretionary investment
advisory services to, private funds (the “Funds”) exempt from registration under the
Investment Company Act of 1940 (the “Investment Company Act”). Citation has formed a
general partner, and expects in the future to form one or more general partners (the
“General Partners”), with authority to make investment decisions on behalf of the Funds. The
General Partners will be deemed registered under the Investment Advisers Act of 1940, as
amended, and the rules and regulations promulgated thereunder (the “Advisers Act”),
pursuant to Citation’s registration in accordance with SEC guidance. The General Partners
will retain investment discretion and limited partners in the Funds will not participate in the
control or management of the Funds. While the General Partners will maintain ultimate
authority over the respective Funds, Citation has been designated the role of investment
adviser.
Citation will provide investment advisory services as a private equity fund manager to the
Funds. The Funds will invest through privately negotiated transactions in operating
companies, generally referred to as “portfolio companies”. Citation’s investment advisory
services to the Funds will consist of identifying and evaluating investment opportunities,
negotiating the terms of investments, managing and monitoring investments and achieving
dispositions of such investments. Investments will be made predominantly in nonpublic
companies, although investments in public companies are permitted in certain instances.
From time to time, the senior principals or other personnel of Citation or its affiliates will
serve on such portfolio companies’ respective
boards of directors and/or otherwise act to
influence control over management of portfolio companies in which a Fund has invested.
Citation’s investment advice and authority for each Fund is tailored to the investment
objectives of that Fund; Citation does not tailor its advisory services to the individual needs
of limited partners in its Funds. A Fund’s investment objectives are described in and
governed by, as applicable, the private placement memorandum, limited partnership
agreement, subscription agreements, investment advisory agreements, side letter
agreements and other governing documents of the relevant Fund (collectively, “Governing
Documents”) and investors determine the suitability of an investment in a Fund based on,
among other things, the Governing Documents. The Firm will not seek nor require limited
partner approval regarding each investment decision.
Citation intends to pursue an investment strategy that it anticipates will generate substantial
opportunities for co-investment. Citation is permitted, in its sole discretion, to provide or
commit to provide co-investment opportunities to one or more limited partners in its Funds
and/or other persons, and to allocate co-investment opportunities among potential co-
investors, in each case on terms to be determined by Citation in its sole discretion. In
exercising such discretion with respect to a particular investment, Citation will consider some
or all of a wide range of factors, which may include those set forth in the Governing
Documents.
Regulatory Assets Under Management
As of April 30, 2023 Citation did not manage any assets. However, Citation expects to close
on over $150 million in Fund commitments within 120 days of its registration being declared
effective by the SEC.
Principal Owners/Ownership Structure
Citation is majority owned by Managing Partner Tiffany K. Hagge. For more information
