A. Description of the Advisory Firm
Tactivest, LLC d/b/a Stout Wealth Management (hereinafter “Tactivest”) is a Limited
Liability Company organized in the State of California.
The firm was formed in September 2014, and the principal owner is Everest Wong.
B. Types of Advisory Services
Portfolio Management Services
Tactivest offers ongoing portfolio management services based on the individual goals,
objectives, time horizon, and risk tolerance of each client. Tactivest creates an Investment
Policy Statement for each client, which outlines the client’s current situation (income, tax
levels, and risk tolerance levels). Portfolio management services include, but are not
limited to, the following:
• Investment strategy • Personal investment policy
• Asset allocation • Asset selection
• Risk tolerance • Regular portfolio monitoring
Tactivest evaluates the current investments of each client with respect to their risk
tolerance levels and time horizon. Tactivest will request discretionary authority from
clients in order to select securities and execute transactions without permission from the
client prior to each transaction. Risk tolerance levels are documented in the Investment
Policy Statement, which is given to each client.
Tactivest seeks to provide that investment decisions are made in accordance with the
fiduciary duties owed to its accounts and without consideration of Tactivest’s economic,
investment or other financial interests. To meet its fiduciary obligations, Tactivest
attempts to avoid, among other things, investment or trading practices that systematically
advantage or disadvantage certain client portfolios, and accordingly, Tactivest’s policy is
to seek fair and equitable allocation of investment opportunities/transactions among its
clients to avoid favoring one client over another over time. It is Tactivest’s policy to
allocate investment opportunities and transactions it identifies as being appropriate and
prudent, including initial public offerings ("IPOs") and other investment opportunities
that might have a limited supply, among its clients on a fair and equitable basis over time.
Altruist Platform
Tactivest offers investment advisory services through the custodial platform offered by
Altruist Financial LLC (“Altruist”), an unaffiliated SEC registered broker dealer and
FINRA/SIPC member. Custody, clearing and execution services are provided by Altruist
Financial LLC as a self-clearing broker-dealer. Tactivest’s clients establish brokerage
accounts through Altruist. Tactivest maintains an institutional relationship with Altruist
whereby Altruist provides certain benefits to Tactivest, including a fully digital account
opening process, a variety of available investments, and integration with software tools
that can benefit Tactivest and its clients. Tactivest is not affiliated with Altruist. Altruist
does not supervise Tactivest, its agents, activities, or its regulatory compliance.
Model Marketplace
Tactivest participates in the Model Marketplace and/or uses tax management tools of
Altruist LLC, an SEC-registered investment adviser and affiliate of Altruist Financial LLC.
Through the Model Marketplace, Tactivest has access to model portfolios including
Altruist LLC-generated portfolios and Third-Party Portfolios, to assist it in managing or
advising Tactivest client accounts. Tactivest also has the ability to create custom model
portfolios, and has access to tax management tools for use with Altruist LLC-generated
portfolios, Third-Party Portfolios, and custom model portfolios, to assist Tactivest in
managing or advising its client accounts. Altruist LLC’s Model Marketplace fees and tax
management tool fees – each of which range between 0.00% and 1.00% and are listed in
the
Altruist LLC Fee Schedule available at altruist.com/legal – are automatically deducted
from Tactivest’s house account or passed through to and debited from clients’ accounts,
according to the instruction of Tactivest. Altruist LLC and its affiliates do not act as
investment advisers or fiduciary to Tactivestclients. Tactivestis responsible for suitability
of all investment decisions and transactions for client accounts subscribed to model
portfolios through the Model Marketplace.
Advisor Tech Collection Program
Tactivest clients establish brokerage accounts with Altruist Financial LLC (“Altruist”) as
custodian. Tactivest maintains an institutional relationship with Altruist whereby Altruist
provides certain benefits to Tactivest (“Support Services”). Altruist pays for or reimburses
Tactivest for the costs of certain technology solutions to help facilitate Tactivest’s practices
and to streamline Tactivest’s operations. The payments may be substantial and are based
on Tactivest clients adding and/or transferring to and maintaining a certain amount
(currently five million dollars ($5,000,000)) in assets on Altruist’s platform. The benefits
provided to or on behalf of Tactivest will not directly benefit client accounts. The fees
Tactivest charges will not be reduced by the value of the Support Services received by
Tactivest. The benefits provided to or on behalf of Tactivest are compensation to
Tactivestin connection with providing advice to clients and therefore should be
considered in assessing the reasonableness of the compensation arrangement between
Tactivestand clients. Access to such economic benefits creates a financial incentive for
Tactivestto maintain client accounts through Altruist as custodian – which results in a
conflict of interest for Tactivest.
Selection of Other Advisers
Tactivest may direct clients to third party investment advisers. Before selecting other
advisers for clients, Tactivest will verify that all recommended advisers are properly
licensed, notice filed, or exempt in the states where Tactivest is recommending the adviser
to clients.
Financial Planning
Financial plans and financial planning may include but are not limited to: investment
planning; life insurance; tax concerns; retirement planning; college planning; and
debt/credit planning.
If in offering financial planning, a conflict exists between the interests of the investment
adviser and the interests of the client. The client is under no obligation to act upon the
investment adviser’s recommendation, and, if the client elects to act on any of the
recommendations, the client is under no obligation to affect the transaction through the
investment adviser. This statement is required by California Code of Regulations, 10 CCR
Section 260.235.2.
C. Client Tailored Services and Client Imposed Restrictions
Tactivest offers the same suite of services to all of its clients. However, specific client
investment strategies and their implementation are dependent upon the client Investment
Policy Statement which outlines each client’s current situation (income, tax levels, and
risk tolerance levels). Clients may not impose restrictions in investing in certain securities
or types of securities in accordance with their values or beliefs.
D. Wrap Fee Programs
A wrap fee program is an investment program wherein the investor pays one stated fee
that includes management fees, transaction costs, and certain other administrative fees.
Tactivest does not participate in any wrap fee programs.
