State of Maryland and is registered as an investment advisor with the U.S. Securities and Exchange
Commission(“SEC”).TheAdvisorwasfoundedinApril2018andisownedbyBrianMcGregor,ChrisRhyne,
theRicardoRosenbergFamilyTrustandthe2024ThayerMcGregorFamilyTrust.TheAdvisorisoperatedby
ChrisSargent,BrianMcGregor,Ricardo Rosenberg and Chris Rhyne. The Advisor employs a consultative
approachtoinvestmentmanagementandfinancialplanning.
InvestmentAdvisoryServices
SIG provides investment advisory services to individuals, trusts, estates, non-profit organizations,
corporations, defined contribution plans and other business entities (each a “Client”). SIG provides
investmentadvisoryservicesonadiscretionaryornon-discretionarybasis,basedontheindividualneedsof
aClient.ThespecificservicesprovidedandtheassociatedfeeswillbeoutlinedinanInvestmentAdvisory
AgreementbetweentheClientandtheAdvisor.
Through personal exploratory conversations with a Client, SIG’s Investment Advisor Representatives
(“AdvisoryPersons”)gatheraClient’sinformation(whichwillincludetopicssuchas,financialobjectives,
goals,investmenttimehorizonandanyotheruniqueClientneeds)anddefinesaClient’sriskprofileand
investmentobjectiveinordertodetermineanappropriateassetallocationandsecurityselectionbestsuited
tothatClient. SIGcontinuestomonitoraClient’sgoalsandcircumstancesand,onanongoingbasis,manages
and rebalances the Client portfolio, as appropriate, taking into account any tax or other investment
sensitivitiescommunicatedbytheClient.SeemoreinformationrelatedtoSIG’sprocesstomonitorClient
goals and portfolios in Item 8, section Method of Analysis and Investment Strategies below. SIG’s wealth
management process starts with investment management but will also consist of the coordination of a
comprehensiverangeofintegratedfinancialservicestohelpaClientreachtheirfinancialgoals.SIGdoesnot
providetax,accountingorlegaladvice,andencouragesClientstoconsultwiththeirtax,accountingandlegal
experts as appropriate. A formal review is conducted with Clients no less than annually. Clients will be
responsibletoadviseSIGofanychangestotheirfinancialinformation,goalsorotherdetailsthatmayimpact
theappropriatenessoftheirportfolioallocationandinvestmentobjective.
Ourinvestmentrecommendationsarenotlimitedtoanyspecificproductorserviceofferedbyabrokerdealer
orlistedonanexchange. MostClientassetswillbeinvestedinreadilymarketablestocks(bothforeignand
domestic),corporateormunicipalbonds,exchange-tradedfundsandnotes,optionsandmutualfunds.Where
appropriate,investmentsmaybeinsmallcapitalizationstocksorprivateinvestments,whichmaybeless
liquidthaninvestmentsinlargercompanies.Clientscanrequestadvicefromusregardingsecuritiesthatare
outsideourtypicalstrategyuponrequest.
Whenmanagingassetsonadiscretionarybasis,SIGisauthorizedtoexecutealltradesinaClient’saccount
without gaining a Client’s permission prior to trading. When SIG services Client accounts on a non-
discretionarybasis,alltradeswillbeexecutedaftergainingfinalapprovaloftransactionsfromtheClient.SIG
mayprovideadvicetoClientsrelatedtooutsideorself-directedassets(“Self-DirectedAssets”),wherethe
Clientretainsallcontroloftheaccountorretainscontrolovertradingauthority.SIGhasnodiscretiontotrade
aClient’sSelf-DirectedAssets.
SIGwillnotintentionallyholdcustodyofClientassets.Clientaccounts,bothdiscretionaryandnon-
discretionary,willbeheldbyanindependentqualifiedcustodian,exceptasnotedbelowinItem15-Custody.
SIGrequiresthatClientsmaintainaminimumbalanceof$500,000,whichissubjecttoexceptionsunder
certaincircumstances.
WrapFeeProgram
SIGdoesnotsponsororplaceClientsintoaWrapFeeProgram.Investmentmanagementservicesare
provideddirectlybySIG.
SelectionIndependentManagers
SIGmayrecommend,basedonindividualcircumstances,thataClientinvestaportionoftheirassetsbyand
among certain independent third-party money managers, including private funds, or unlisted separately
managedaccounts(“SMA’s”)(collectivelyknownas“IndependentManager(s)”),thetermsandconditionsto
be set forth in a separate written agreement and/or offering documents between the Client and the
IndependentManager.IndependentManagerstypicallyspecializeinaparticulartypeofsecurityorstrategy.
ThemanagementoftheassetsinaClient’saccountsbysomeIndependentManagersisnotspecifictothe
Client’sneedswhentradedbutisdeterminedbythestrategyselected.OtherIndependentManagers(SMA’s)
will select assets specific to the Clients’ individual needs. Certain private funds will operate as pooled
investment vehicles that the Client owns a percentage share in. When an Independent Manager is
recommended by SIG, the Advisor is responsible for due diligence of and ongoing monitoring of the
IndependentManager.Item8furtherdescribesourMethodsofAnalysis,InvestmentStrategiesandRisksof
Lossrelatedtotheseinvestments.
FinancialPlanning,ConsultingServices,Self-DirectedAssets
SIGwilltypicallyofferavarietyoffinancialplanningandconsultingservicestoclients.Servicesareofferedin
several
areas of a Client’s financial situation, depending on their goals and objectives. Generally, such
financial planning services involve preparing a formal financial plan or rendering a specific financial
consultationbasedontheClient’sfinancialgoalsandobjectives.Thisplanningorconsultingmayencompass
oneormoreareasofneeddependingontheClient’ssituation.Financialplanningservicesareavailabletoall
Clients,butaClientisnotrequiredtoutilizetheservice.
We cannot stress enough the importance that a Client accurately and completely communicate to their
AdvisoryPersonandSIGtheinformationneededtocompleteafinancialplanormorethoroughlyunderstand
Clientneeds.OurgoalistoprovideClientswiththemostpersonalizedandcompletefinancialplanaspossible,
asweintendforClientstouseitasablueprintofhowbesttoreachtheirgoals.ToensurethataClient’splan
remainsaccurateandup-to-date,itisveryimportantthataClientcontinuallyupdatetheirAdvisoryPerson
andSIGwithanychangestotheirfinancialsituation,goalsorinvestmenttimehorizon.
Clients may engage SIG on a consulting basis for the provision of any particular investment service or a
varietyofservicesasagreeduponbetweenSIGandtheClient.Theservicestobeprovidedwillbeoutlinedin
anagreementbetweenSIGandtheClient.
ClientsmaychoosetodesignatecertainassetsheldintheiraccountmanagedbySIG,orinotheraccounts
heldwiththecustodianas“self-directed”andnotsubjecttoSIG’sinvestmentadvisoryservicesoradvisory
fees.Self-directedassetsmustbespecificallyidentifiedbytheClientandapprovedbytheAdvisorinwriting.
SIGwillhavenoresponsibilityorfiduciarydutywithrespecttoanyself-directedassets.
RetirementAccountConsiderations
AspartofSIG’sadvisoryservices,anAdvisoryPersonmayprovideaClientwithrecommendationsandadvice
concerningtheiremployerretirementplanorotherqualifiedretirementaccount.SIGmayrecommendthat
theClientwithdrawtheassetsfromtheiremployer'sretirementplanorotherqualifiedretirementaccount
androlltheassetsovertoanindividualretirementaccount("IRA")thattheAdvisorwillmanage,orSIGmay
respondtoarequestfromaClienttoacceptassetswithdrawnfromanemployers’retirementplanorother
clientIRAformanagement,withoutprovidingadvice.IftheClientelectstorolltheassetstoanIRAunderSIG’s
management,SIGwillchargetheClientanasset-basedfeeasdescribedinItem5.
SIGisafiduciaryundertheInvestmentAdvisorsActof1940andwhenweprovideinvestmentadvicetoyou
regardingyourretirementplanaccountorindividualretirementaccount,wearealsofiduciarieswithinthe
meaningofTitleIoftheEmployeeRetirementIncomeSecurityAct(ERISA)and/ortheInternalRevenue
Code,asapplicable,whicharelawsgoverningretirementaccounts.ThewaySIGmakesmoneycreatessome
conflictswithourClient’sinterests,soSIGoperatesunderaspecialrulethatrequiresustoactinourClient’s
bestinterestandnotputourinterestaheadofyours.
• Asafiduciary,SIGmustmeetaprofessionalstandardofcarewhenmakinginvestment
recommendations(giveprudentadvice);
• SIGwillneverputourfinancialinterestsaheadofyourswhenmakingrecommendations
(giveloyaladvice);
• Weseektoavoidmisleadingstatementsaboutconflictsofinterests,feesandinvestments;
• Wehaveimplementedpoliciesandproceduresdesignedtoensurethatouradviceisinyour
bestinterest;
• Wechargenomorethanisreasonableforourservices;andprovideClientswithimportant
informationaboutourfeesandanyconflictsofinterest.
AClientisundernoobligation,contractuallyorotherwise,tocompletearolloverafteranydiscussionswith
SIG,andmayhaveseveralotheroptionsotherthanrollingoverthefunds.Furthermore,ifaClientdoesdecide
torolloverfundsintoanIRA,theyareundernoobligationtohavetheirIRAassetsmanagedbySIG.
Clientsshouldcarefullyassesstheguidelinesoftheircurrentretirementplanandtheprosandconsof
withdrawingfundsfromtheplanintoanIRAanddiscussthesewiththeirAdvisoryPerson.
RetirementPlanAdvisoryServices
SIGalsoprovidesretirementplanadvisoryservicesonbehalfofretirementplans(eacha“Plan”)
andthecompany(the“PlanSponsor”).TheAdvisor’sretirementplanadvisoryservicesaredesignedtoassist
thePlanSponsorinmeetingitsfiduciaryobligationstothePlananditsPlanParticipants.Eachengagementis
customizedtotheneedsofthePlanandPlanSponsor.Servicesgenerallyinclude:

• InvestmentPolicyStatement(“IPS”)DesignandMonitoring
• InvestmentOversightServices(ERISA3(21))
• BenchmarkingServices
• OngoingInvestmentRecommendationandAssistance
TheseservicesareprovidedbySIGservinginthecapacityasafiduciaryundertheEmployee
RetirementIncomeSecurityActof1974,asamended(“ERISA”).InaccordancewithERISASection408(b)(2),
thePlanSponsorisprovidedwithawrittendescriptionofSIGfiduciarystatus,thespecificservicestobe
renderedandalldirectandindirectcompensationtheAdvisorreasonablyexpectsundertheengagement.
AssetsUnderManagement
As of December 31, 2023 SIG managed approximately $788,416,428 in discretionary assets under
management and $358,380,273 in non-discretionary assets under management. Total assets under
managementareapproximately$1,146,796,701.
