SteepRock Capital II LLC (dba SteepRock Capital) is the successor firm to SteepRock Capital LLC a real estate investment firm founded in October 2009 by John Bucci and Matthew Mitchell. In August 2014, SteepRock Capital II LLC (“SteepRock”) was formed. SteepRock is a Delaware limited liability company and its managing members are Matthew Mitchell and John Bucci (together, the “Managing Partners”). Please see our Form ADV Part 1 for additional information regarding SteepRock’s direct and indirect ownership. SteepRock is a private real estate advisory and asset management firm with a focus on mezzanine loans, subordinate debt, mortgages on institutional quality real estate assets and other real estate investments. SteepRock provides non- discretionary advisory and asset management services to a few select institutional clients as well as discretionary investment and asset management services to SteepRock Real Estate Yield Investors, LLC. specializing in a particular type of advisory service, such as financial planning, quantitative analysis, or market timing, explain the nature of that service in greater detail. SteepRock does not participate in wrap fee programs. on a discretionary basis and the amount of client assets you manage on a non- discretionary basis. Disclose the date “as of” which you calculated the amounts. SteepRock currently provides advisory and asset management services to three accounts that are classified as 3(c)(5) funds (“Exempt Accounts”) which are exempt from registration from the Investment Company Act of 1940, as amended (the “Investment Company Act”), and the securities of the Exempt Accounts are not registered under the Securities Act of 1933, as amended (the “Securities Act”). SteepRock serves as the investment adviser/asset manager under an Asset Management Agreement for five unaffiliated institutional accounts and three joint venture vehicles. SteepRock has not been given discretionary investing authority for those advisory client accounts. SteepRock gives discretionary investment and asset management services for SteepRock Real Estate Yield Investors LLC. As of December 31, 2023, SteepRock had approximately $1.455BB of regulatory assets under management of which approximately $147 million is managed on a non-discretionary basis.
