Overview
Kelly Wealth Management, Inc. (hereinafter called “KWM”) is a Registered Investment Adviser
based in Southfield, Michigan, and incorporated under the laws of the State of Michigan. KWM
is wholly owned by Mary Jane Kelly. KWM is registered with the SEC and subject to the rules
and regulations of the US Advisers Act. Founded in November 2023, KWM provides
investment advisory services, which may include, but are not limited to, the review of client
investment objectives and goals, recommending asset allocation strategies of managed assets
among investment products such as cash, stocks, mutual funds and bonds, annuities, and/or
preparing written investment strategies. Our investment advice is tailored to meet our clients’
needs and investment objectives. Clients may impose restrictions on investing in certain
securities or types of securities (such as a product type, specific companies, specific sectors, etc.)
by providing a signed and dated written notification, of which an e-mail is also an acceptable
form of notification.
KWM provides investment advisory and other financial services through its Investment
Advisory Representatives ("IAR") to accounts opened with KWM. Managed Accounts are
available to individuals and high net worth individuals.
KWM provides discretionary investment advisory services to some of its clients through various
managed account programs. KWM will assist clients in determining the suitability of the
Managed Account Programs for the client. The IAR is compensated through a comprehensive
single fee and the account may be assessed other charges associated with conducting a brokerage
business. KWM and its IAR, as appropriate, will be responsible for the following:
• Performing due diligence
• Recommending strategic asset and style allocations
• Providing research on investment product options, as needed
• Providing client risk profile questionnaire
• Obtaining investment advisory contract from client along with required financial, risk
tolerance, suitability and investment vehicle selection information for each new account
• Performing client suitability check on account documentation, review the investment
objectives
and evaluate the investment vehicle selections
• Providing Firm Brochure (this document)
KWM may recommend a Wrap Fee Program for the client’s account(s). A “wrap fee program”
for purposes of the SEC is a program under which investment advisory and
brokerage execution services are provided for a single “wrapped” fee that is not based on the
transactions in a client account. Clients with Wrap Fee Program accounts will be provided with
KWM’s Wrap Fee Brochure.
Third-Party Advisers
KWM, in providing the services agreed upon with the client, may recommend ("the Third-Party
Adviser"), an unaffiliated investment adviser registered under applicable securities laws, as a
Third-Party Adviser to manage all or a portion of the managed assets in the Client's account.
KWM offers these services based on the individual goals, objectives, time horizon, and risk
tolerance of each client. If it is determined that the portfolio management services offered by a
Third-Party Adviser are in the best interest of the client, KWM will utilize the third-party advisor
to manage the client assets. If this occurs, KWM will be responsible for the continuing
supervision of the Client's account, and the actions of the Third-Party Adviser in connection with
the Client's account and the managed assets. Use of unaffiliated investment advisory firms as
Third-Party Adviser are recommended to assist us with the development and recommendation of
appropriate investment options for your account(s). The Agreement of the Third-Party Adviser
will grant the Third-Party Adviser discretionary authority to manage the assets. The Third-Party
Adviser recommended by KWM is an investment adviser registered under applicable securities
laws, and they may manage all or a portion of the managed assets in the client's account. KWM
also will be responsible for the payment of any advisory fee or other charges of the Third-Party
Adviser with respect to the managed assets unless or except as specifically authorized in advance
by the Client.
As of February 22, 2024, the firm has a total of $112,692,652 discretionary assets under
management with $0 in non-discretionary assets.
