Overview

Lingotto US was formed in May 2023 as a Delaware limited liability company with its principal place of business in New York, New York. Lingotto US is wholly owned by Lingotto Investment Management LLP (“Lingotto LLP”), a privately owned investment adviser that files as exempt reporting adviser with the SEC and that is authorized and regulated by the Financial Conduct Authority (FCA) in the United Kingdom. Lingotto US is indirectly owned by EXOR N.V., a listed (Dutch holding company incorporated in Netherlands (Amsterdam Stock Exchange ticker: EXO)). Lingotto US provides non-discretionary investment services as sub-adviser to Lingotto LLP in relation to a private investment fund (the “Fund”) as outlined in Item 7. The Fund is the Advisory Client of the Firm. The Firm is responsible for the investment activities of Advisory Clients. Additionally, the Firm anticipates providing discretionary investment services as adviser to additional private investment funds. The Firm also anticipates providing non-discretionary investment services as adviser to separately

managed accounts (each a “Separate Account”). Lingotto US invests on behalf of Advisory Clients in strategies which invest in listed equities, unlisted companies, new issues and specialty credit opportunities that the Firm considers may be important to the direction of change for the global economy over the coming decades. The Fund is managed in accordance with its Fund investment objectives, strategies, fees, risks and restrictions, which are set forth in more detail in the Fund’s respective private offering memoranda and governing documents. Such offering material is available to prospective qualified investors with whom Lingotto LLP has a pre-existing substantive relationship. Lingotto US does not tailor its advisory services to the individual needs of investors in the Funds and generally does not accept investor-imposed investment restrictions. As of April 1st 2024, Lingotto US managed approximately $654,001,448 of assets under management on a non-discretionary basis. The Firm does not manage any assets on a discretionary basis.
