Overview

Decagon Asset Management (US) LP (hereinafter “Decagon”, “we”, “us”, “our” or “Firm”) is organised as a Delaware limited partnership; with the general partner being Decagon Asset Management US (GP) LLC (“GP”) and the managing member of the GP being Decagon Asset Management (UK) Ltd. Decagon was incorporated on 12th May 2022. Decagon will provide discretionary investment management services to qualified investors through its private funds and a separately managed account, , as appointed by Decagon Asset Management LLP, (an affiliate of Decagon) under a Sub-Investment Management Agreement, dated 1st September 2022, as follows: The Private Funds (master-feeder arrangement):
• DAM Master Fund Ltd (the “Master Fund”, Cayman domiciled)
• DAM Fund Ltd (the “Offshore Fund”, Cayman domiciled)
• DAM Fund (US) LP (the “Onshore Fund”, Cayman domiciled) The above are collectively known as the “Fund”. In addition, Decagon will act as the sub-advisers to two separately managed accounts. We

serve as the investment adviser, with discretionary trading authority, to private, pooled investment vehicles, the securities of which are offered through a private placement memorandum to accredited investors, as defined under the Securities Act of 1933, as amended, and qualified purchasers, as defined under the Investment Company Act of 1940, as amended. We do not tailor our advisory services to the individual needs of any particular investor. Our investment decisions and advice with respect to the Funds are subject to each Fund’s investment objectives and guidelines, as set forth in its respective investment management agreement or collectively the “Offering Documents”. We do not currently participate in any Wrap Fee Programs. Regulatory Assets Under Management As of 31st December 2023 , Decagon has regulatory assets under management of USD $220,910,179 managed on a discretionary basis. The Firm is currently marketing the Funds, but has no regulatory assets in the fund structure.
