Overview

(A)Operational and Organizational Information: Quantumrock Capital GMBH (the “Firm”) is an investment adviser registered with the U.S. Securities and Exchange Commission. As stated on the cover page of this Brochure, registration as an investment adviser does not imply a level of skill or training. The Firm was formed in November of 2010. The principal owners of the Firm are Stefan Tittel (approx. 60%), Thomas Lorenzen (approx. 21%) (each being a “Managing Partner”) and Michael Morsch (approx. 19%).
(B)Types of Advisory Services Offered: The Firm provides investment management services to separately managed account clients (“clients” also referred to as “client accounts”) on a discretionary and non-discretionary basis.
The advisory services focus on the development and implementation of mathematical trading models, artificial intelligence and systematic, fully automated trading. The Firm’s strategies are either purely quantitative or quantamental and combine science and statistics with fundamental data points and industry knowledge. The Firm’s current research focuses on long- short equity models, volatility models and spread-and-pair trading models as well as market-neutral and directional models in commodity markets.
The investment process starts with a client or potential

client selecting from a menu of strategies that best align with such client’s risk tolerance and financial objectives. The Firm utilizes a wide array of financial products to implement its strategies, such as equities, derivatives, fixed income, commodities, volatility products.
(C)Client Investment Guidelines and Parameters: The Firm does not generally tailor its advisory services to the individual needs of separately managed account clients. Clients are not offered the ability to impose restrictions on investing in certain securities or types of securities. The Firm provides discretionary and/or non- discretionary investment advisory services to all fee paying clients’ accounts. In connection with managing a client’s investments, such client’s investment management agreements provide investment guidelines and parameters that provide the context within which the Firm renders its investment management {00429049.DOC; 1}5 services, subject to such investment decisions being approved by the relevant client.
