Overview

Description of Firm Kingsbarn Capital Management, LLC (“KCM”) is a registered investment adviser headquartered in Las Vegas, Nevada. KCM is organized as a limited liability company under the laws of the State of Nevada. KCM was created in July 2021 and has been providing investment advisory services since November 2021. KCM is a wholly owned subsidiary of Kingsbarn Realty Capital which is wholly owned by Jeffrey A. Pori. All material business decisions concerning the operations of Kingsbarn Capital Management are decided by a majority of the Board of Managers that includes Jeffrey A. Pori, Founder and CEO of Kingsbarn Realty Capital, James J. Fowler, Chief Executive Officer and Chief Investment Officer of Kingsbarn Capital Management, and Steven Ruoff, KDRN Portfolio Manager. Mr. Fowler has been delegated, by the Board of Managers, oversight of the day-to-day operations of KCM. Currently, KCM manages (a) an ETF (“KDRN”) that invests in fixed income-related ETFs and U.S. treasury futures; and (b) an ETF (“DVDN”) that invests in publicly

listed equities issued by residential mortgage REITs, commercial mortgage REITs, and Business Development Companies. KDRN is managed on a day-to-day basis by Steven Ruoff via a consulting agreement between the portfolio manager’s firm (which is wholly owned by the portfolio manager) and KCM. DVDN is co- managed by James Fowler and Ignatius Chiang who are both employees of KCM. Each fund has its own investment objectives set forth in the respective fund's offering materials. KCM provides investment advisory and management services to each of the funds. Furthermore, the funds are advised and managed by KCM in accordance with each fund’s investment objectives and restrictions. Any individual considering an investment in either fund should consult an investment professional to determine their investment suitability. Assets Under Management As of December 31, 2023, KCM provides continuous management services for $2,235,725.69 in client assets on a discretionary basis, and $0 in client assets on a non-discretionary basis.
