Overview of the Firm Metronome Capital LLP (“Metronome” or the "Firm") is a United Kingdom-based investment management firm with its place of business in London, United Kingdom. Metronome has no place of business in the United States. The Firm is a Limited Liability Partnership established in February 2012 under United Kingdom law. Metronome has been authorised and regulated by the United Kingdom Financial Conduct Authority since April 2013. The Firm is owned by its partners; Sharif el Khazen is the managing partner and Chief Investment Officer. Advisory Services Metronome is an investment manager investing in publicly-traded equities and equity-like securities. The Firm employs a fundamental, concentrated and long-term investment approach focusing predominantly on European stocks. Metronome offers research-driven discretionary investment advisory

services to professional and institutional investors through pooled collective investment vehicles (referred to as “funds”) and to separately managed accounts (collectively with the fund, the Firm’s “clients” or “accounts”). Each private fund is managed in accordance with the stated investment objectives, strategies, restrictions and guidelines found in the relevant confidential private placement memorandum. The Firm manages separately managed accounts on a discretionary basis, in accordance with negotiated guidelines and restrictions regarding investments and other investment criteria. Assets under Management As of 31st May 2023, Metronome manages approximately US$193,202,904 in discretionary regulatory assets under management. Discretionary assets are those over which the Firm has full authority to make investment decisions. Metronome does not manage any non-discretionary assets.
